Independent Non-Executive Chairman

Independent Non-Executive Director 

.au Domain Administration Ltd (auDA) is the policy authority and industry self-regulatory body for the .au domain space in Australia. Endorsed by the Australian Government to administer the .au domain space, and designated by the Internet Corporation for Assigned Names and Numbers (ICANN) as the suitable operator for .au, the role of auDA includes the following:

  • Manage the development of domain name policy through the setting of terms of reference and appointing chairs of advisory panels
  • Select the .au registry operator and manage its compliance to the registry agreement, including service levels to ensure stability of .au;
  • Accredit registrars and manage compliance with their agreements
  • Handle consumer complaints
  • Appoint .au Dispute Resolution Policy providers
  • Represent .au at ICANN and other international forums

auDA is seeking to appoint a new Independent Non-Executive Chairman and Independent Non-Executive Director.

The Independent Chairman and Non-Executive Director will be critical contributors to ensuring professional standard corporate governance of auDA and to monitor the performance of the organisation and the CEO who leads the strategic, regulatory, operational and membership activities of auDA, as delegated by the Chairman and the Board. The Board is composed of 8 elected Directors and 3 independent Directors.

The specific skills and experience required in each role are outlined below;

Independent Non-Executive Chairman

  • Demonstrated experience as a Non-Executive Chairman of a complex, multi stakeholder organisation
  • Experience in Board governance and the ability to implement and reinforce high standards of governance on the Board
  • Demonstrated experience in transformation and change
  • Strong commercial and financial acumen
  • Experience dealing with Government would be highly regarded
  • Strong communications skills with the ability to convey the vision for auDA and align key stakeholders
  • Qualifications - relevant tertiary, professional and governance qualifications. Graduate of the Australian Institute of Company Directors (GAICD)  

Independent Non-Executive Director

  • Experience as a Non-Executive Director of a complex, multi stakeholder organisation
  • High levels of governance experience – in particular applicable to a dynamic, rapidly changing, public purpose, multi-stakeholder environment
  • Senior level Executive experience - preferably in the ICT industry, or an IT executive role within a larger organisation, with  an organisation of a similar scale to auDA and responsible for managing mission critical environments of national importance
  • Finance, audit & risk or compliance - experience as a member of a Board Finance, Audit & Risk or Compliance committee
  • Deep strategic skills - to help auDA navigate its role in a rapidly expanding and changing global environment for internet domain operations
  • Demonstrated experience in organisation change management
  • Qualifications - relevant tertiary, professional and governance qualifications. Graduate of the Australian Institute of Company Directors (GAICD)
